1. Definitions
In these Terms and Conditions:
- "FencerApp", "we", "us", "our" refers to the sole trader operating FencerApp at fencerapp.com.au.
- "Service" means the FencerApp web application and website available at fencerapp.com.au, including all features, updates, and related tools.
- "You", "your", "User" refers to any person or business entity that registers for or uses the Service.
- "Subscription" means a paid plan giving you access to the Service on a monthly or annual billing cycle.
- "Content" means any data, text, images, or other material you upload, submit, or create within the Service.
- "Terms" means these Terms and Conditions, as updated from time to time.
2. Acceptance of Terms
By accessing or using the Service, you confirm that:
- You are at least 18 years of age.
- You have the legal capacity to enter into a binding agreement.
- If you are accepting on behalf of a business, you have authority to bind that business.
- You have read and agree to these Terms.
These Terms form a legally binding agreement between you and FencerApp. They are governed by the laws of Australia.
3. The Service
FencerApp is a cloud-based business management application designed for fence builders and related trade professionals operating in Australia. The Service provides tools to manage customers, create quotes, generate invoices, and related business administration functions.
We reserve the right to modify, add, or remove features from the Service at any time. We will provide reasonable notice of material changes that may affect your use of the Service.
4. Accounts & Registration
4.1 Registration
To use the Service, you must register for an account by providing accurate and complete information. You agree to keep your account information current and accurate.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must:
- Use a strong, unique password.
- Not share your login credentials with any third party.
- Notify us immediately at support@fencerapp.com.au if you suspect any unauthorised access.
FencerApp is not liable for any loss or damage arising from your failure to maintain account security.
4.3 One Account per User
Each subscription is for a single user business account unless a multi-user plan is expressly offered. You may not share your account with others unless permitted by your plan.
5. Subscriptions & Billing
5.1 Subscription Plans
Access to the full features of the Service requires a paid Subscription. We offer monthly and annual billing options. Current pricing is displayed on our website at fencerapp.com.au/pricing and is subject to change with reasonable notice.
5.2 Billing & Payment
- Subscriptions are billed in advance on a recurring basis (monthly or annually).
- Payment is processed securely by Stripe. By subscribing, you authorise us to charge your nominated payment method on the applicable billing date.
- All prices are in Australian Dollars (AUD) and inclusive of GST where applicable.
5.3 Failed Payments
If a payment fails, we will notify you and may suspend access to the Service until payment is received. Repeated failed payments may result in account termination.
5.4 Price Changes
We may change subscription prices from time to time. We will give you at least 30 days' notice before any price increase takes effect. If you do not wish to continue at the new price, you may cancel your subscription before the change takes effect.
5.5 Taxes
You are responsible for any applicable taxes beyond Australian GST that may apply to your subscription in your jurisdiction.
6. Free Trial
We may offer a free trial period for new users. During the free trial:
- No payment is required.
- Access is limited to the features and duration specified at sign-up.
- At the end of the trial, you must subscribe to continue using the Service. If you do not subscribe, your account will be downgraded or suspended.
We reserve the right to modify or cancel free trial offers at any time.
7. Acceptable Use
You agree to use the Service only for lawful business purposes. You must not:
- Use the Service to engage in any illegal activity or to violate any applicable Australian law or regulation.
- Upload, store, or transmit malicious code, viruses, or any harmful content.
- Attempt to gain unauthorised access to any part of the Service or its underlying systems.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Resell, sublicense, or otherwise commercialise access to the Service without our prior written consent.
- Use the Service to harass, defame, or harm any person.
- Interfere with or disrupt the integrity or performance of the Service.
- Use automated scripts or bots to scrape or extract data from the Service.
We reserve the right to suspend or terminate your account if we reasonably believe you have breached this section.
8. Your Data
8.1 Ownership
You retain full ownership of all Content you upload or create in the Service, including your customer records, quotes, and invoices. We claim no ownership over your Content.
8.2 Licence to Us
By using the Service, you grant FencerApp a limited, non-exclusive licence to store, process, and display your Content solely for the purpose of providing the Service to you.
8.3 Data Export
You may export your data from the Service at any time using the export features available within the app. It is your responsibility to maintain copies of your data.
8.4 Privacy
We handle personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
8.5 Data on Termination
After account termination, we will retain your data for up to 90 days before permanent deletion, during which time you may request an export. See our Privacy Policy for details.
9. Intellectual Property
All rights, title, and interest in and to the Service — including software, design, trademarks, logos, and documentation — are and remain the exclusive property of FencerApp. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as permitted under your Subscription.
The FencerApp name and logo are trademarks of FencerApp. You may not use our trademarks without prior written consent.
10. Third-Party Services
The Service may integrate with or link to third-party services (such as Stripe for payments). Your use of those services is governed by the third party's own terms and privacy policies. We are not responsible for the content, practices, or availability of any third-party service.
11. Service Availability
We aim to provide a reliable, high-availability service. However, we do not guarantee that the Service will be available 100% of the time. The Service may be temporarily unavailable due to maintenance, upgrades, or circumstances outside our control.
We will endeavour to provide advance notice of planned maintenance that may affect Service availability.
12. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.
13. Limitation of Liability
To the maximum extent permitted by applicable law, FencerApp's total liability to you for any claims arising out of or related to these Terms or the Service will not exceed the amount you paid to FencerApp in the three (3) months immediately preceding the event giving rise to the claim.
In no event will FencerApp be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.
14. Australian Consumer Law
Nothing in these Terms is intended to exclude, restrict, or modify any consumer guarantees, rights, or remedies provided under the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) that cannot lawfully be excluded, restricted, or modified.
If the Service is supplied as a "consumer" within the meaning of the Australian Consumer Law, you may have non-excludable rights including guarantees that the Service will be provided with due care and skill, and that it will be fit for any particular purpose we agreed to. Where our liability for breach of a non-excludable guarantee can be limited, we limit our liability to resupply of the Service or payment of the cost of having the Service resupplied.
15. Indemnification
You agree to indemnify, defend, and hold harmless FencerApp and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service in violation of these Terms.
- Content you submit to the Service that infringes any third-party rights.
- Your violation of any applicable law or regulation.
16. Termination
16.1 Termination by You
You may cancel your Subscription at any time. See our Cancellation & Refund Policy for details on how cancellation works and refund eligibility.
16.2 Termination by Us
We may suspend or terminate your account immediately if:
- You breach any of these Terms.
- Your payment fails and is not resolved after notice.
- We reasonably believe your use of the Service is fraudulent, abusive, or poses a security risk.
- We are required to do so by law.
We may also terminate the Service entirely by providing at least 30 days' written notice to all active subscribers.
16.3 Effect of Termination
Upon termination, your right to access the Service ceases. Sections 8, 9, 13, 15, and 18 of these Terms survive termination.
17. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your Subscription.
18. Governing Law & Disputes
These Terms are governed by the laws of Australia. You agree that any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of Australia.
Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct negotiation for at least 30 days.
